Indonesia-based PT GoTo Gojek Tokopedia Tbk (GoTo), the parent company of Gojek and Tokopedia, has announced the resignation of members of its Board of Directors and Board of Commissioners.
The firm said in a statement on last Friday that the company has received resignations from two members of the board of directors last Wednesday.
Thomas Kristian Husted, resigning from his position as Vice President Director – he will continue to focus on supporting GoTo Financial.
Meanwhile, Nila Marita Indreswari, resigning from her position as Director to pursue personal interests outside of the company.
On May 2, the company has also received resignations from one member of the Board of Commissioners and one member of the Board of Directors.
Garibaldi Thohir, resigning from his position as Commissioner to focus on his family business, while Pablo Malay, resigning from his position as Director. Subject to shareholders’ approval at the annual general meeting of shareholders, he will be nominated as a Commissioner of the company.
According to the statement, all resignees will remain in position until their resignations are accepted by shareholders at the company’s upcoming AGMS, details of which will be announced soon.
Separately, the company also stated in its public disclosure that subject to the nomination process, the company will propose the appointment of new members of both the Board of Commissioners and the Board of Directors, including the nomination of an additional Independent Commissioner, at its upcoming AGMS.
The company said it will comply with all applicable procedures in accordance with Financial Services Authority Regulation regarding the Board of Directors and Board of Commissioners of issuers or public companies, and Regulation regarding the planning and organization of the general meeting of shareholders of public companies.
It said GoTo remains committed to upholding the highest standards of corporate governance to support the company’s long-term growth and value creation for all stakeholders.
GoTo is the largest digital ecosystem in Indonesia. The firm provides services including mobility, delivery, payments, financial services, and technology solutions for merchants.
It also provides e-commerce services through Tokopedia and banking services through its partnership with Bank Jago.
